B. Riley says the unsolicited revised offer from "Party G" which Fairchild Semiconductor (FCS) disclosed last night still has "meaningful deficiencies." The new offer does not address concerns related to CIFIUS approval risk and a successful Taiwanese operations divestiture, the firm contends. Fairchild's board could continue to view ON Semiconductor's (ON) $20.00 per share offer as superior, Riley tells investors in a research note. The firm has a Buy rating on ON with a $15 price target.

Exane BNP Paribas analyst David O'Connor downgraded On Semiconductor to Underperform from Neutral with a price target of $55, down from $74. The analyst has "grown more cautious" about end demand for silicon carbide, especially among U.S. suppliers.
