CL King analyst Jim Barrett downgraded Headwaters to Neutral due to the dilutive acquisition of Krestmark Industries for $240M. The analyst does not believe Headwaters can accelerate Krestmark's sales growth, nor sees material synergies, and is concerned about the takeout multiple.
