The analyst cited the unlikely upside potential to the current share price in light of Sonic Financial's $18/share offer to acquire the minority shares not owned by the Smith family, which is currently being reviewed by a special committee of independent directors from the company's board. Should the offer by rejected by the board or shareholders, the analyst sees downside risk in the shares.
