On The Fly: What to watch in media networks earnings reports

The owners of several of the country's biggest media networks are scheduled to report quarterly results over the next two weeks, with HBO and Turner parent Time Warner (TWX) set to report before the open on August 1, CBS and Showtime owner CBS Corp. (CBS) reporting after the close on August 7, and Fox owner 21st Century Fox (FOXA) reporting after the close on August 9. All of these follow NBC owner Comcast (CMCSA), which reported on July 27. ABC parent Disney (DIS) is also scheduled to report on August 8. What to watch for: 1. CONSOLIDATION: In October of last year, AT&T (T) announced an agreement to acquire Time Warner in a stock-and-cash deal valued at $107.50 per share. The terms implied a total equity value of $85.4B and a total transaction value of $108.7B, including Time Warner's net debt, the companies stated at the time of the announcement. The M&A headlines in the media space had been frequent prior to that deal, and the pace has not slowed since. As recently telegraphed in media reports, Discovery Communications (DISCA) announced this morning that the company agreed to acquire Scripps Networks Interactive (SNI) in a cash-and-stock transaction valued at $14.6B, or $90 per Scripps share. The most recent consolidation chatter is that Sprint (S) has proposed a merger with Charter Communications (CHTR). Charter met The Wall Street Journal's report head on, announcing that while it understands "why a deal is attractive for SoftBank (SFTBF)... Charter has no interest in acquiring Sprint." SoftBank's Masayoshi Son, also the chairman of Sprint, may still decide to make a formal offer to acquire Charter anyway, a person familiar with the matter told the Journal. Meanwhile, when asked if a big merger is potentially on the way to compete with AT&T, Verizon (VZ) CEO Lowell McAdam recently said, "We'll see," the New York Post reported, citing comments made at the Allen & Co. annual conference. When asked by reporters about the prospect of potentially targeting Disney for a deal, McAdam replied, "No," the report added. 2. COMCAST LOOK AT AD MARKET: In its Q2 report, Comcast announced Cable Networks revenue increased 5.1% to $2.7 billion in the second quarter of 2017, reflecting higher distribution and content licensing and other revenue, partially offset by lower advertising revenue. In the segment, advertising revenue decreased 0.9%, due to audience ratings declines, mostly offset by higher rates. Broadcast Television revenue increased 5.3% to $2.2 billion in the second quarter of 2017, reflecting higher distribution and other and content licensing revenue, partially offset by a decline in advertising revenue. In the segment, advertising revenue decreased 1.2%, due to audience ratings declines, partially offset by higher rates, Comcast reported. 3. CYBER SECURITY: While protecting customer data, and valuable intellectual property, is key for all industries, the issue has come to the forefront for the media group following today's Entertainment Weekly report that Time Warner's HBO recently experienced a cyber incident, in which hackers may have stolen upcoming episodes of two series and at least one apparent script for an episode of Game of Thrones.

Sprint, DISH the only assets for sale, says Oppenheimer
Oppenheimer analyst Timothy Horan noted that wireless companies will be allowed to discuss M&A, and says he sees Sprint (S) and possibly DISH (DISH) as the only assets for sale. JPMorgan analyst Philip Cusick believes SoftBank (SFTBY) is one of the few companies that could offer a big enough price to take control of Charter Communications (CHTR). While a deal is not very likely, Softbank Chairman Masayoshi Son "is never to be counted out as a buyer," Cusick tells investors in a research note. He believes a Charter acquisition offer would likely have to be in the $500 per share or higher range. Charter shares in premarket trading are up $31.74 to $402 after the Wall Street Journal reported Friday night that SoftBank has interest in merging the company with Sprint. Citi analyst Jason Bazinet says Comcast (CMCSA) should acquire Verizon (VZ) for four reasons. Wireless would allow Comcast to extend Internet connectivity beyond the home, the deal would allow the company to push fiber deeper into neighborhoods, Verizon is apt to be the second biggest beneficiary of wireless consolidation, and Comcast could see upside if the tax code changes, Bazinet tells investors in a research note titled "Stars Are Aligning for Comcast + Verizon." The analyst sees the timing for a deal as right given Comcast's history of "trying to acquire assets that have fallen on difficult times" and the potential for a more amendable regulatory landscape under President Trump. Further, 2017 is the first year where Comcast's market capitalization exceeds Verizon's, the analyst adds. He estimates the pro forma combined company would generate $2.1B of annual synergies. Assuming a 20% premium for Verizon's equity, paid via 75% equity and 25% cash, Bazinet estimates Comcast shares would rise to $41. The stock closed yesterday up 28c to $39.75. Nomura Instinet analyst Anthony DiClemente argued in a premarket research note that the shortened NBA finals carry "implications" for Disney and ESPN's Q3 results. DiClemente lowered his estimates for Disney to reflect the impact of three fewer playoff games relative to last year, two fewer finals games and "ratings softness" at ABC, leading him to model Q3 earnings per share of $1.55 versus his prior $1.62. The analyst kept a Buy rating and $125 target on the shares. Disney in afternoon trading is down 45c to $106.11.

BTIG analyst Rich Greenfield makes the case that Comcast's (CMCSA) "window for M&A is simply to enticing too ignore" and lays out six potential targets that would "truly be transformative," with his top pick among the group being Charter (CHTR). A combination of Charter with Comcast would have "all of the benefits of the legacy Time Warner Cable deal with even more scale" and even though odds of approval are no better than 50/50, it is worth throwing that "hail-mary," Greenfield tells investors. The other five possible deals that Greenfield makes the case for are Disney (DIS), Verizon (VZ), Netflix (NFLX), T-Mobile (TMUS) and Snap Inc.'s (SNAP) Snapchat.

Content/application acquisitions more likely for Verizon, says Oppenheimer
Oppenheimer analyst Timothy Horan says that while he does see a merger with Charter (CHTR) and especially with Comcast (CMCSA) working financially, he believes Verizon (VZ) has its sights set on becoming a platform for digital content/apps monetized with programmatic advertising. This, combined with using wireless technologies to replace wireline broadband, could be "very disruptive to the cable industry," he adds. The analyst sees further acquisitions of content/application companies as more likely for Verizon.
