On The Fly: Top stock stories at midday

Stocks opened with gains but the major averages were unable to hold them in early trading. Once the sellers emerged and pushed the Dow lower, the bluechip index broke under a technical level that increased the downward pressure. The Dow remains the biggest loser at midday as investors are still trying to position themselves ahead of the pending tariffs being imposed on steel and aluminum imports into the U.S. ECONOMIC EVENTS: In the U.S., an advance report indicated retail sales fell 0.1% in February, with the ex-auto component up 0.2%. The producer prices index rose 0.2% month-over-month in February, with the core PPI rate up 0.2% as well. Business inventories grew 0.6% in January, while sales fell 0.2%, in line with expectations. COMPANY NEWS: Broadcom's (AVGO) attempt to buy Qualcomm (QCOM) has officially ended, as Broadcom announced before the market open that it has withdrawn and terminated its offer to buy the rival chipmaker. Broadcom also withdrew its slate of independent director nominees for Qualcomm's annual meeting and said it plans to continue moving forward with its redomiciliation process. The decision comes after President Trump issued an executive order to block the chipmaker from buying its rival on the grounds of protecting U.S. national security. Shares of Broadcom are 1.4% lower near midday, while Qualcomm's shares have slipped 2.5%... In other news, Chipotle (CMG) shares fell 2% after the company disclosed in a regulatory filing that chief marketing and strategy officer Mark Crumpacker has resigned, effective March 15... Shares of Ford (F) are 3% higher near midday after Morgan Stanley analyst Adam Jones double upgraded the stock to Overweight from Underweight, saying he believes a "window of opportunity" has opened up, with consensus bottoming and the stock having reached attractive valuation levels amid low sentiment... Meanwhile, Adidas (ADDYY) shares in New York surged 9% after the athletic gear giant announced yesterday that its board decided to launch a multi-year share buyback program and it reported on its quarterly results this morning. MAJOR MOVERS: Among the noteworthy gainers was Seaspan (SSW), which rose 13% after it acquired the remaining 89% it did not own of Greater China Intermodal Investments from affiliates of Carlyle Group (CG) and the minority owners of GCI. Also higher after reporting quarterly results were Senseonics (SENS) and MongoDB (MDB), which gained a respective 3% and 4%. Among the notable losers was Signet Jewlers (SIG), which dropped 18% after it reported quarterly results and announced a transformation plan, which includes the expected closure of over 200 stores in fiscal 2019. Also lower after reporting quarterly results and issuing guidance was Vera Bradley (VRA), which fell 8%. INDEXES: Near midday, the Dow was down 296.64, or 1.19%, to 24,710.39, the Nasdaq was down 28.79, or 0.38%, to 7,482.22, and the S&P 500 was down 15.55, or 0.56%, to 2,749.76.

Broadcom could look at Micron next with Qualcomm blocked, says KeyBanc
President Trump's order to block Broadcom's (AVGO) proposed takeover of Qualcomm (QCOM) also likely blocks the possibility of the company trying to acquire any other player with any military/defense exposure, such as Xilinx (XLNX), KeyBanc analyst John Vinh tells investors. However, he expects Broadcom to remain acquisitive and thinks Micron (MU) could be another potential target, citing a lack of security concerns and Broadcom's previous attempts to bid for Toshiba (TOSBF), he noted. Vinh reiterates his Overweight rating and $320 price target on Broadcom, adding that he sees the executive order as a "slight positive," since it removes a near-term distraction and overhang.

Marvell-Cavium deal in focus after denial of Broadcom-Qualcomm, says Benchmark
After President Trump signed an order prohibiting Broadcom's (AVGO) attempt to take over Qualcomm (QCOM), Benchmark analyst Gary Mobley said the news may cause investors to question CFIUS approval for the planned tie-up of Marvell (MRVL) with Cavium (CAVM). It is possible Marvell may have to re-domicile in the U.S. from Bermuda, which may delay the merger by a few months and would increase Marvell's tax rate unfavorably, he said. Mobley, who think it is hard to say whether the President will shoot down the deal, noted that CFIUS and China's MOFCOM are the last two regulatory hurdles for Marvell and Cavium's deal. He has a Buy rating on Marvell shares.

Broadcom price target lowered to $335 from $344 at SunTrust
SunTrust analyst William Stein lowered his price target on Broadcom (AVGO) to $335 after the company's bid for Qualcomm (QCOM) came undone. Stein says the new price target is based on Broadcom's stand-alone valuation and potential accretion from another medium-sized deal, forecasting the company to pursue another target "in due time". The analyst keeps his Buy rating on Broadcom, adding that M&A has been a "massive driver" of its earnings growth.

On The Fly: Top five analyst upgrades
Catch up on today's top five analyst upgrades with this list compiled by The Fly: 1. Stryker (SYK) upgraded to Neutral from Sell at Citi by analyst Amit Hazan, who believes supply issues at Zimmer Biomet (ZBH) could drive share gains for Stryker. 2. Chipotle (CMG) upgraded to Outperform from Neutral at Baird by analyst David Tarantino, who cited its new CEO and the potential for the company to demonstrate better sales/traffic momentum over the next 12-24 months. He believes it will support investor sentiment given the opportunity for the company to deliver strong earnings power if unit volumes begin to recover. 3. Itron (ITRI) upgraded to Buy from Hold at Cannacord Genuity by analyst Chip Moore, who said he has increased conviction in the company's forward earnings power and finds current share levels a "very compelling" entry point. He notes the stock is down 10% since the SilverSpring Networks deal announcement back in September. Moore's views the combination as compelling and has increased confidence in cost saving potential post close. 4. Winnebago (WGO) upgraded to Outperform from Market Perform at BMO Capital by analyst Gerrick Johnson, who said that the RV market growth -- currently in its 9th year -- will continue at a 10% pace, adding that the company's growth can outgain the competition because of its "operating improvement, enhanced product offering, and emerging trade-up cycle from first time buyers." The analyst also noted that Winnebago will benefit from lower corporate taxes while its stock trades at "significant" valuation discount. 5. Exelixis (EXEL) upgraded to Outperform from Perform at Oppenheimer by analyst Leah Rush Cann. The analyst is now applying a valuation methodology for profitable companies to Exelixis, since the company turned profitable for the full-year 2017. She expects Exelixis will continue to develop its commercial drugs, Cabometyx and Cometriq, while its partner Genentech (RHHBY) will continue to develop Cotellic. Chipotle price target raised to $310 from $285 at Wedbush
Wedbush analyst Nick Setyan raised his price on Chipotle Mexican Grill to $310 from $285. In a research note to investors, Setyan said that he is "skeptical" that increasing optimism around a potential inflection in 2019 could materialize, though he expects the combination of "low" expectations for 2018 and the hiring of new CEO Brian Niccols to result in "relatively uneventful" quarterly reports through 2018. Setyan said checks suggest Q1 same-store sales growth are in line with the 1.3% consensus and within the 1%-2% guidance and believes FY18 comp guidance of 2.7% growth is "realistic," adding that visibility into 2019 EPS is the next meaningful catalyst "in either direction." Morgan Stanley compares automakers to Facebook, Apple in 'Auto 2.0' model
Morgan Stanley analyst Adam Jonas noted that auto companies' valuations have compressed to extremely low levels, but he believes that a move from a vehicle ownership model to a transportation subscriber model could expand the revenue opportunities for the potential "tollkeepers" for the monetization of content and data by "nearly an order of magnitude." Looking at U.S. technology leaders Facebook (FB) and Apple (AAPL), which are both valued on their installed base/subscriber models, can "offer valuable clues" regarding the opportunity for General Motors (GM) and other auto OEMs, said Jonas. Viewing the OEMs though the lens of a subscription model, which should be less cyclical and potentially less capital intensive over time than the current auto model, is relevant to analyzing auto stocks, according to Jonas, who adds that it is still too early to call a winner or loser in "Auto 2.0." Other publicly traded legacy automakers include Fiat Chrysler (FCAU), Ford (F), Honda (HMC), Nissan (NSANY), Toyota (TM), Volkswagen (VLKAY) and Daimler (DDAIF).

Morgan Stanley raises U.S. auto sales forecasts through 2021
Morgan Stanley analyst Adam Jonas raised his U.S. seasonally adjusted annual rate, or SAAR, forecast for automakers by an average of 850,000 units from 2018 through 2021, which represents slightly more than a 5% increase from his prior forecast. However, his average U.S. SAAR forecast is still well below last year's 17.3M units and 8% under the cyclical high of 17.6M units in 2016. Jonas points to U.S. tax reform and "relatively stable" recent trends in auto sales and credit as reasons for the hike, noting that while infrastructure action from the federal government could be a material positive, it is not explicitly in his new forecast. Adding that the higher view has a net positive impact on estimates and price targets for exposed auto Original Equipment Manufacturers, or OEMs, and suppliers, Jonas raised his price targets on General Motors (GM), Asbury Automotive (ABG), AutoNation (AN), Group 1 Automotive (GPI), Lithia Motors (LAD), Penske Automotive (PAH), Sonic Automotive (SAH) and Ford (F). He also double upgraded Ford, to Overweight from Underweight, this morning.

Morgan Stanley double upgrades Ford, says estimates may have bottomed
As previously reported, Morgan Stanley analyst Adam Jonas upgraded Ford to Overweight from Underweight, where he has had his rating since 2014. Sentiment on Ford has reached a cyclical low, and Jonas said this has taken valuation to attractive levels, estimating that the F-150 franchise alone may be worth more than 150% of the company's total current enterprise value. While noting that Ford still has "a lot of room" to improve its performance compared to peers, Jonas raised his underlying earnings forecasts "by the greatest amount in nearly five years" and noted that he thinks estimates may have bottomed. The analyst, who also raised his U.S. SAAR forecast in a separate note to investors this morning by an average of 850,000 units from 2018 through 2021, increased his price target on Ford shares to $15 from $10.

Morgan Stanley says Ares may be first, Apollo may gain most from C-corp convert
Morgan Stanley analyst Michael Cyprys said he sees an opportunity for Alternative Asset Managers to unlock value by converting to C-corps, as shifting from a partnership structure could help alleviate some tax reporting complexities and expand the universe of eligible investors. He sees Ares Management (ARES) as possibly the first to convert and expects a potential announcement or indications of management's intentions about a conversion when the company reports earnings on February 15. While Ares may be first, Cyprys sees Apollo Global (APO) as potentially being able to unlock the most value from a conversion, with 26% near-term upside possible if the shares re-rate. He sees a less favorable conversion scenario for asset managers with lower taxes and/or greater exposure to performance fees, including KKR (KKR), Carlyle Group (CG) and Blackstone (BX), Cyprys tells investors.
