BMO Capital analyst Keith Bachman keeps his Outperform rating on VMWare (VMW) with a price target of $198 but says he is not supportive of its confirmed agreement to acquire the remaining equity in Pivotal Software (PVTL). The analyst notes that while the combined entity would improve the messaging in go-to-market strategy and product overlap - areas where the partnership had previously struggled - the deal also contains "worse" financial implications for VMWare, since Pivotal's Expected operating loss in FY20 would reduce VMWare's operating margins by about 300bps.

Proposed deal makes sense for both VMware, Pivotal, says William Blair
A Dell Technologies (DELL) filing last night revealed that the boards of VMware (VMW) and Pivotal Software (PVTL) have each established special committees to negotiate an agreement for VMware to acquire Pivotal for $15 per share in cash. While a deal may not happen, the proposed combination makes strategic sense for both parties, William Blair analyst Jason Ader tells investors in a research note. If a deal were to be consummated, it would result in Dell increasing its ownership stake in VMware through the proposed stock transaction, the analyst adds. He reiterates an Outperform rating on shares of VMware.

Crowdstrike 'stands out' in endpoint security market, says OTR Global
In a note to investors earlier, OTR Global said its checks with security distributors, resellers and system integrators showed that in a continued strong endpoint security market in Q2, CrowdStrike (CRWD) gained ground against incumbent vendors. The firm also noted that Carbon Black's (CBLK) Q2 endpoint sales met or exceeded plan for the majority of 11 partners the firm checked with and that only one of 14 sources said that Symantec's (SYMC) endpoint sales exceeded expectations in the quarter.

As previously reported, Baird analyst Jonathan Ruykhaver initiated Carbon Black with an Outperform rating and $20 price target, saying the most influential factor in his positive rating is the fact Cloud Subscription ARR grew to $81M with essentially one product -- CB Defense -- and the company now has its enterprise grade EDR on the cloud platform along with a managed services wrap around, which has proven to be a successful equation in endpoint security. In addition, the analyst says FY19 guidance appears conservative and the EV/Sales multiple is at the bottom end of the comp group.

JPMorgan 'highly surprised' by incremental strength in VMware partner survey
JPMorgan analyst Mark Murphy said his quarterly survey of 28 VMware partners left him "highly surprised" by the incremental strength reported given the backdrop of clearly softening demand for infrastructure hardware and software companies. Partners finished the quarter 3.4% above plan, on average, which Murphy identifies as the highest level for a Q2. Additionally, all key metrics up ticked year-over-year and sequentially, leading him to view VMware as well positioned. Murphy did add, though, that 46% of VMware partners believe Enterprise data center spending is beginning to soften and that he suspects Q1 billings growth benefitted from delays in Q4 bookings, which could "create an adverse setup for Q2 billings growth optics." Murphy keeps an Overweight rating on VMware shares.
