Catch up on today's top five analyst upgrades with this list compiled by The Fly: 1. VMware (VMW) upgraded to Outperform from Market Perform at Wells Fargo with analyst Philip Winslow saying investors have been concerned that growing interest in deploying containerized applications into Kubernetes-centric environments will eventually reduce customer demand for VMware's virtualization-centric product portfolio. 3. Scotts Miracle-Gro (SMG) upgraded to Neutral from Underperform at BofA/Merrill with analyst Christopher Carey saying the bar on the company's earnings consensus may be "too low." 5. Philip Morris (PM) upgraded to Buy from Neutral at BofA/Merrill with analyst Lisa Lewandowski citing the suspended merger discussions with Altria (MO) amid the heightened risk for U.S. vaping category following reports of lung health concerns. Philip Morris upgraded to Buy from Neutral at BofA/Merrill
BofA/Merrill analyst Lisa Lewandowski upgraded Philip Morris (PM) to Buy with a price target of $96 after the suspended merger discussions with Altria (MO) amid the heightened risk for U.S. vaping category following reports of lung health concerns. The analyst notes that the whole industry may be impacted by uncertainty around vaping, but she sees Philip Morris rising above the "noise" due to its lack of vaping exposure, strong underlying fundamentals, and potential for offering alternatives to vaping products.

Wells Fargo not surprised Philip Morris, Altria Group ended merger talks
Wells Fargo analyst Bonnie Herzog says that while she is dismayed by the announcement that Philip Morris (PM) and Altria (MO) have ended merger talks, she is not all that surprised given the length of negotiations and the litany of negative FDA/health headlines throughout. The analyst expects the stocks to trade up sharply since "clearly the market wasn't in favor of this combination." Herzog adds that it appears to her the talks fell apart over JUUL and the companies announced they have agreed to focus on launching iQOS in the U.S. "as part of their mutual interest to achieve a smoke free future." The analyst continues to believe Philip Morris/Altria have a competitive advantage, especially in this environment, with iQOS. She continues to "strongly recommend" both stocks, with Philip Morris remaining her top stock pick.

Goldman does not see favorable setup for Americas Multi-Industry into Q2
Goldman Sachs analyst Joe Ritchie does not see the setup as favorable for the Americas Multi-Industry sector into the Q2 reporting season with the exception of Buy-rated Honeywell (HON). The analyst says fiscal 2020 consensus expectations are too high for a third of the companies he covers while the setup is tough for the second half of 2019 as comps are only easier for five out of 27 stocks "at a time when growth is decelerating." As a result, Ritchie downgraded three cyclical stocks to Sell, namely Cognex (CGNX) and Parker-Hannifin (PH) from Neutral and Kennametal (KMT) double downgraded from Buy. He also upgraded Timken to Buy from Neutral as he believes expectations are more appropriately calibrated and its relative valuation is "compelling."

Illinois Tool Works downgraded to Sell from Neutral at Goldman Sachs
Goldman Sachs analyst Joe Ritchie downgraded Illinois Tool Works (ITW) to Sell from Neutral and lowered his price target for the shares to $144 from $147. Given the company's "deteriorating fundamentals," there is downside risk to consensus estimates and its valuation premium relative to Large Cap Defensive peers "appears too high," Ritchie tells investors in a research note. The analyst believes growth in all of Illinois Tool Works' segments could turn negative in Q4 while the return to greater than 2% growth in 2020 "could prove optimistic." Further, after years of transforming the cost structure and driving meaningful margin expansion, the company "has less levers to pull to expand margins," says Ritchie. The analyst continues to view Honeywell (HON) as the best Large Cap Defensive to own.

Momentum of Honeywell's stock price and earnings to continue, says Argus
Argus analyst John Eade keeps his Buy rating and $195 price target on Honeywell, saying that while the stock has already outperformed the S&P 500 with a 23% run over the past year, he expects that momentum to continue as the company generates low double-digit earnings growth over the next 5 years. The analyst believes that Honeywell stands to benefit from its diverse product lines, its strong presence in the commercial aerospace and commercial construction markets, as well as its "mid-market" product presence in China that is growing in spite of the country's infrastructure slowdown.

Morgan Stanley stays Underweight on Union Pacific, says 'priced for perfection'
After Union Pacific "modestly" topped expectations in Q2, Morgan Stanley analyst Ravi Shanker noted that consensus had declined 9% since May and said he thinks the small beat could come as a disappointment "for a railroad that is in the prime of its PSR implementation." Shanker, who thinks the stock is "priced for PSR perfection," said he has little doubt that the company's headcount cuts are driven by its Precision Scheduled Railroading shift, but he also believes they were accelerated by the tough environment. He keeps an Underweight rating on Union Pacific shares, though he raised his price target on the stock to $140 from $128.

Truck pricing, volume pressures to weigh on transport sector, says Raymond James

He thinks attention will center around any update on truckload capacity, especially in the wake of what he sees as early signs of capacity rationalization between net truck orders well below replacement, plateauing truck transportation employment and a host of potential regulatory impacts. The analyst raised his price target on Saia (SAIA) to $105 from $85 and on Kansas City Southern (KSU) to $151 from $141 and lowered his price target on Union Pacific (UNP) to $188 from $197.

Hard for Goldman, Morgan Stanley to justify E-Trade deal, says Keefe Bruyette
Keefe Bruyette analyst Brian Kleinhanzl looked into whether an acquisition of E-Trade (ETFC) would make sense for Goldman Sachs (GS) or Morgan Stanley (MS) after the electronic brokers reduced their commission rates. The analyst says he could make the strategic rationale for why a broker would buy an e-broker, namely cost savings and customer base expansion. However, ultimately a deal has to make sense financially as well, and it would be hard for Morgan or Goldman to justify on this basis, Kleinhanzl tells investors in a research note. In addition, with both brokers trading near tangible book value, shareholders would prefer buybacks versus an acquisition as a better use of shareholder capital at this point in the cycle, adds the analyst. As such a result, Kleinhanzl sees a deal for E-Trade as unlikely given the financial and capital impacts. He would be surprised if either broker aggressively pursued E-Trade as an acquisition.

Jefferies changes five bank ratings after looking into 2020, 2021
Jefferies analyst Ken Usdin upgraded BB&T (BBT), SunTrust Banks (STI) and Regions Financial (RF) to Buy from Hold from Hold while downgrading M&T Bank (MTB) and Zions Bancorp (ZION) to Hold from Buy. Looking to 2020 and 2021, banks face slowing earnings growth and "ongoing sentiment hurdles," Usdin tells investors in a research note. The analyst's base case assumes a stable economy, but he notes that "trade talk could tip it either way." Further, the 2020 election could weigh not only on valuation multiples, but also on earnings estimates based on the regulatory outlook, adds the analyst. He believes attractive dividend yields and a shift toward value stocks could help, but admits that earnings revisions are biased down with more rate cuts likely. Regions "has led the pack" in protecting its net interest margin for a tougher rates environment, while BB&T has less downside to estimates relative to peers and a faster earnings growth rate given benefits from the pending merger-of-equals with SunTrust, contends Usdin.

BofA/Merrill sees Citi, Citizens BB&T risk/reward as 'compelling'
BofA Merrill Lynch analyst Erika Najarian said she does not believe bank stocks are pricing in a recession, though they are "bearing the brunt of cycle concerns." Bank stocks could be at a near-term bottom, said Najarian, who sees compelling risk/rewards for shares of Citi (C), Citizens Financial (CFG) and BB&T (BBT) even when taking into account theoretical fair value in a recession. Even in the case of a recession, banks have materially improved underwriting since the financial crisis and she estimates an average 46% EPS hit in a downturn but only a 5% hit in tangible book value versus consensus 2020 forecasts, Najarian tells investors.

SunTrust loan growth acceleration encouraging, says Argus
Argus analyst Stephen Biggar kept his Buy rating and $81 price target on SunTrust (STI) after its Q2 results, saying that while the company missed consensus by a penny, its "recent acceleration in loan growth" has been encouraging as the management has also signaled that its merger with BB&T (BBT) remains on track to close later this year. The analyst notes that while SunTrust's net interest margins may compress on lower yield curve environment, the bank's merger synergies should yield above-peer-average return on equity, justifying a premium valuation on the stock.

BofA/Merrill shakes up ratings in chemicals space with 2 upgrades, 4 downgrades

Byrne downgraded Dow Inc. (DOW) to Underperform from Neutral and Westlake Chemical (WLK) to Underperform from Buy, noting their commodity exposure. He downgraded Axalta Coating (AXTA) to Neutral from Buy and cut PPG (PPG) to Underperform from Neutral as he is getting more cautious about their revenue prospects. He upgraded Venator Materials (VNTR) to Buy from Underperform, citing what he views as an attractive risk-reward as he expects earnings will grow in 2020, driven by product upgrades and productivity initiatives. Large-cap banks aren't gaining deposit market share, says Morgan Stanley

Neutral
Textron started with Neutral at Credit Suisse on strong positions, mixed markets
As previously reported, Credit Suisse analyst Robert Spingarn initiated coverage of Textron with a Neutral rating and a $50 price target. The analyst notes that Textron is a market leader in many of its markets, including executive aviation, commercial rotorcraft, and specialized vehicles. However, many of these markets have low visibility and/or soft growth, which often require competitive pricing as well as continual product investment, he contended.

Textron strategic review suggests strategic shift to A&D, says Cowen
Cowen analyst Cai von Rumohr said Textron's decision to undergo a review for Kautex represents a 18- degree strategic shift for the company and suggests it wants to become an A&D pure play. The analyst said a Kautex divestiture could allow Textron to command a higher multiple with attractive optionality to enhance value. Rumohr reiterated his Outperform rating and $60 price target on Textron shares.

Textron 'looks more interesting' after earnings selloff, says JPMorgan
Textron shares dropped 9% yesterday as investor concerns about business jet demand came to the forefront following the company's Q2 results, JPMorgan analyst Seth Seifman tells investors in a research note. The market now seems "quite skeptical" of earnings per share greater than $4.00 next year, adds Seifman. The analyst, however, says that barring a recession, he still sees a path to $4 in earnings per share next year. He believes Textron is "looking more interesting after the selloff" and keeps an Overweight rating on the name with a $58 price target.
