Japan exports fell less than feared in January. Official data showed the value of shipments overseas falling -2.6% y/y, compared to a drop of -6.3% y/y in the previous month and supported by sales of cargo ships. Forecasts had been expecting a further deterioration compared to December, although the official January numbers will have preceded the majority of the impact from the coronavirus outbreak and subsequent data are likely to look bleak.

U.S. Treasury reported foreign accounts bought $78.2 B in net U.S. assets in December, following purchases of $77.3 B in November (revised from $73.1 B). That brought the 2019 total to $384.8 B, compared to $531.1 B in 2018. Also, overseas players bought $85.6 B in net long term assets in December, after $27.1 B in November (revised from $22.9 B). In fact, it's fourth consecutive monthly increase, with gains in 8 of the last 9 months. It's also the largest since the $98.2 B in June. Total 2019 purchases were $69.9 B, versus $741.8 B in 2018. But, private accounts bought $438.5 B while official accounts sold -$368.6 B. Additionally, foreigners bought $48.7 B in Treasury coupons in December, and $197.6 B in 2019, while official accounts sold -$7.6 B coupons in December and liquidated -$332.2 B last year. The Cayman Islands and Belgium (often custodian accounts) were the largest purchasers of Treasury notes and bonds in December at $8.1 B and $5.1 B, respectively, while China was the largest seller at -$19.3 B, followed by Brazil at -$11.5 B. Treasuries held abroad totaled nearly $6.7 tln at the end of 2019, versus $6.3 tln at the end of 2018. Japan remains the largest holder at $1.15 tln followed by China $1.07 tln.

Merck announced that the U.S. Food and Drug Administration has issued a Complete Response Letter regarding Merck's supplemental Biologics License Applications seeking to update the dosing frequency for KEYTRUDA, Merck's anti-PD-1 therapy, to include a 400 mg dose infused over 30 minutes every-six-weeks option in multiple indications. The submitted applications are based on pharmacokinetic modeling and simulation data presented at the 2018 ASCO Annual Meeting. These data supported the European Commission approval of 400 mg Q6W dosing for KEYTRUDA monotherapy indications on March 28, 2019. Merck is reviewing the letter and will discuss next steps with the FDA.

Ally Financial announced that it has entered into a definitive agreement to acquire CardWorks in a transaction valued at approximately $2.65B. Cardworks is a privately held company with $4.7B in assets and $2.9B in deposits. Under the terms of the agreement, Merrick Bank, a wholly owned subsidiary of CardWorks, Inc., will merge into Ally Bank. Consideration for the transaction will include approximately $1.35B of cash and $1.3B in Ally common stock, or 39.5M shares. The merger consideration remains subject to closing equity and other adjustments and fill-or-kill rights. Don M. Berman, Chairman, Chief Executive Officer and Founder of CardWorks, owns 70% of CardWorks and will receive a combination of cash and Ally common stock as his consideration. Shares of Ally common stock granted to Mr. Berman will be subject to a lock-up agreement restricting the sale or transfer of 100% of his shares until the one-year anniversary of the closing date, at which point Mr. Berman can sell or transfer up to one-third of his shares. On each subsequent anniversary, Mr. Berman will be permitted to sell or transfer up to another one-third of his shares. As a result, three years after close of the transaction, Mr. Berman may sell or transfer any remaining shares of Ally common stock. Mr. Berman will join Ally's Board of Directors and become a member of Ally's executive management team following closing. The acquisition, which is subject to customary regulatory approvals and closing conditions, is expected to close in the third quarter of 2020. Each company's board of directors has unanimously approved the acquisition.
