W.R. Grace announced that, at a Special Meeting of Shareholders, the company's shareholders approved a proposal to adopt the merger agreement between Grace and an affiliate of Standard Industries Holdings Inc., under which Standard Industries Holdings will acquire all of the outstanding shares of Grace common stock for $70.00 per share in cash. Approximately 99.6% of the votes cast at the meeting, representing approximately 69.5% of shares of the company's common stock issued and outstanding as of the close of business on August 9, 2021, the record date for the Special Meeting, voted to adopt the Merger Agreement. The final vote results, as certified by an independent Inspector of Election, will be filed on a Form 8-K with the U.S. Securities and Exchange Commission. The completion of the transaction is expected to occur on Wednesday, September 22, 2021, subject to the satisfaction or waiver of the remaining customary closing conditions set forth in the Merger Agreement. Following the closing of this transaction, Grace will become a privately held company that will operate as a standalone company within the portfolio of Standard Industries, and Grace's common stock will no longer be listed on the New York Stock Exchange.

W. R. Grace & Co. has licensed its UNIPOL PP process technology to GAIL Ltd, India's principal gas transmission and marketing company under the Ministry of Petroleum and Natural Gas. The 500 KTA polypropylene plant, located in Usar, Maharastra, India, will be the first PDH and PP plant in India. It is also the largest single-line UNIPOL PP process technology capacity that Grace has licensed in India, the company said in a statement.

Standard Industries announced, in anticipation of the closing of its acquisition of W. R. Grace (GRA), that Bob Patel will join the company as CEO of Grace, effective January 2022. Patel will join Standard from LyondellBasell (LYB), where he has served as CEO since 2015 and led a period of extraordinary growth for the company. Patel will succeed Hudson La Force, who has served as CEO of Grace since 2018. La Force will continue as CEO until the end of the year and will join Standard's advisory board in January 2022.

Advanced Refining Technologies, or "ART," the joint venture of W. R. Grace (GRA) and Chevron (CVX), announced the award of an FCM agreement by state-owned Bahrain Petroleum Company, or "Bapco." The exclusive, 5-year agreement, which includes an option to renew for an additional five years, is valued at $240M and is "the largest catalyst management agreement ever signed in Bapco's history," the companies said. "As part of the BMP, Bapco will boost Bahrain's oil refinery processing capacity from 267,000 b/d to 380,000 b/d. In addition, ART will supply its Resid Hydrocracking catalyst technology for a wide variety of feedstocks to maximize bottom of the barrel upgrading. The technology is the industry-leading catalyst for metals capacity and sediment control. In addition, ART will provide FCM services for the reclamation of metals from spent catalysts," the companies said.

W. R. Grace & Co. stated that it will increase prices for its Fluid Catalytic Cracking catalysts by 3 to 9 percent in 2021 based on product type and specific customer commitments. This increase will be effective July 1, 2021 or as contracts allow. As the global refining industry recovers from the pandemic and margins for refined products have strengthened, Grace is seeing significant interest from refiners to rapidly return to using premium catalyst technologies to increase FCC unit profitability. Premium catalysts help relieve operating constraints, facilitate increased operating rates, and maximize product yields, thereby increasing profitability for refineries.
