Nano Dimension announces the appointment of Dr. Nissan Cohen to the Board of Directors of the Company, effective immediately. Dr. Yoav Nissan-Cohen will replace Mr. Yaron Eitan, who has served on the board of Nano Dimension since March 2020 and has stepped down as Dr. Nissan-Cohen joined. Nissan-Cohen was one of the founders of Tower Semiconductor, where he served as chief executive officer, took the company public on Nasdaq, and built a $1.5 billion advanced semiconductor facility.

Reports Q3 revenue $10M vs. $1.34M last year. Yoav Stern, Chairman & CEO, comments: "The comparable increases of revenue of Q3 2022 over Q3 2021 and year-to-date over last-year-year-to-date - highlight the business' continued success in growing dramatically, better than our expectations as expressed last year. We also finished the third quarter with a record backlog of approximately $9M. All our product lines' revenue grew organically exceptfor additive electronics machines in Europe: As a result of the Russia-Ukraine war, our revenues in Russia and Poland were reduced in the first 9 months of 2022 by approximately $1.5M compared to the same period in 2021. Additionally, we understand from other customers there that the continued components' supply chainshortages have caused them to request a delay in delivery of additive electronic machines. Sales and deliveries in the USA of similar machines grew organically by 45% over the 9 months ended September 30th, 2022, compared to the similar period in 2021. The Gross Margin is a bit lower than we have anticipated, which is a result of the above mentioned held-back deliveries in Europe without reducing the fixed manufacturing overhead. The inherent gross margin of that technology is above 30%, as it has been for years, and it is within the typical range for that industry segment. We sold 69 machines of this kind since 1-1-2022. The Q3/2022 lower gross margin is also a result of trading up old AME machines with new ones, which are transactions at lower gross margins than the regular new AME machine sales."

Nano Dimension has signed an agreement with Tethon Corporation to develop new materials for its Fabrica 2.0 micro-additive manufacturing system. The agreement is focused on materials with high-performance and specialty specifications, including high temperature, transparent, and carbon nano tubes. "Our customers have been asking for a micro-AM platform to manufacture production parts," said Trent Allen, Chief Executive Officer of Tethon 3D. "The Fabrica 2.0 is a modern marvel of engineering and our material scientists have loved innovating with the platform to create novel materials."

On a preliminary basis, Nano Dimension reported unaudited approximated consolidated revenues of $10 million for Q3/2022, which represents a 646% increase over the same period in 2021. For the nine months period ended September 30th, 2022 revenue was $31.5 million, which represents a 963% increase over the same period in 2021. The Company also reported a record-high backlog of above $9 million as of September 30th, 2022. Consolidated cash, investment in trading securities and deposits balances as of September 30th, 2022, were approximately $1,188,000,000.

Reports Q2 revenues $11.1M vs. $811,000 last year. The company said, "The efforts of our newly assembled Go-To-Market organization are indeed showing results, manifested by an impressive growth in revenue. It includes Nano Dimension's network of marketing, sales, pre and post sales application engineers and customer care engineers across Europe and the U.S. Their efforts are indeed substantial and effective, especially with the occurrences of unforeseen events, especially the slowdown in Europe resulting from the industrial players' reaction to the evolving war in Ukraine as well as the crisis in electronic components' supply chain. We see our role to either prepare for unpredicted circumstances, or at least to react to them swiftly. As part of this commitment to act, in mid-August 2022, we replaced our President of the Americas with Mr. Dale Baker. Dale, an ex-General Electric executive and ex-CEO of seven companies, has worked with us before in similar roles in other exponential growth situations. Dale is already heading the expansion of Nano Dimension's U.S. operations as well as taking the leadership role in AME worldwide sales and marketing activity and gearing up to execute the Company's current organic and M&A growth strategy. Our vision continues to evolve as we look to transform AM, AM Electronics & adjacent industrial non-digitized sectors into an environmentally friendly & economically efficient additive manufacturing Industry 4.0 - enabling a one production-step-conversion of digital designs into functioning mechanical & electronic devices, on-demand, anytime, anywhere. We aim to build an ecofriendly and intelligent distributed secured network of 3D printers & roll-in adjacent industrial machine-learning-led-digitized manufacturing and self-learning and self-improving machines. As we have mentioned in the last quarter, the business plan aimed at reaching the above has been expanded with a wider field of view, to fit new arising opportunities. If contraction of multiples and valuations will be sustained, we expect to take advantage of our frugal approach to cash management during the unreasonable "market-inflation" during 2020 to early 2022. Indeed, in early Q3/2022 we leveraged the shrinking valuations and bought Admatec Europe B.V. and Formatec Technical Ceramics B.V. in Europe, at approximately 2.5 times revenue. We have also established ourselves, at a value of approximately 2 times revenue, as a shareholder of Stratasys, in a strategic investment. If acquisitions will withstand more reasonable prices, which have not been available over the last two years, we hope to show attractive synergistic growth from M&A activity."

Nano Dimension announced that the Israeli court has approved the Company's previously announced repurchase plan, allowing the Company to invest up to $100 million to repurchase its American Depository Shares for a maximum period of 12 months. Even though Nano Dimension's shares are traded only on Nasdaq, Nano Dimension Ltd., being an Israeli entity, needed a regulatory court approval as per the local Corporate Law.

On a preliminary basis, Nano Dimension reported unaudited approximated consolidated revenues of $11 million for Q2/2022, ended June 30th, 2022, a 1,275% increase over Q2/2021 ended June 30th, 2021, and a 5.5% increase over Q1/2022 ended March 31st, 2022. The Company's preliminary revenues for H1/2022, the six months period ended June 30th, 2022, were $21.5 million, a 1,244% increase over H1/2021, the six months period ended June 30th,2021. Consolidated cash, investment in trading securities and deposits balances as of June 30th 2022, were approximately $1,267,000,000.

Yoav Stern, Chairman and Chief Executive Officer of Nano Dimension, commented: "The purpose of Nano Dimension in buying Stratasys shares is the formation of a strategic investment in a market-leader which is well established in a relatively seasoned market segment, while Nano Dimension's disruptive technologies in AME and 3D metal printing supply its shareholders with value created by accelerated growth and expansion curves. Hence, an investor in Nano Dimension will gain from its value creation in "blue ocean" type AM sectors plus having strategic upside from investment in Stratasys, which enjoys a commanding presence in large, stable more mature, mostly polymer-based AM technologies. Nano Dimension announced that it has signed and closed a definitive agreement to acquire Formatec Holding, which includes its two subsidiaries - Admatec Europe and Formatec Technical Ceramics. The company said, "Admatec/Formatec, based in the Netherlands, are comprised of two complementary businesses operating together, which were part of the U.S.-based Precision Surfacing Solutions. It is a leading developer and manufacturer of additive manufacturing and 3D printing systems for ceramic and metal end-user parts. Its industry-grade systems - powered by digital light processing technology - use materials with superior mechanical, electrical, thermal, biological, and chemical properties to produce an array of parts for medical, jewelry, industrial, and investment casting uses. Admatec/Formatec's industrial production service division is a design-to-production partner for industrial-scale customers via its service bureau platform that combines the advantages of injection molding and additive manufacturing. Both means of production have served as a strategic advantage in working with customers, from early-stage ideas into serial production of end-use parts. Admatec/Formatec has shown promising financial results under strenuous circumstances of its parent company, indicating that accelerated growth based on its innovative technology can be expected. The business delivered $5.3M in revenue with a gross margin of 56% in 2021. Nano Dimension has paid a total cash sum of $12.9M for Admatec/Formatec. By joining Nano Dimension, Nano Dimension believes that Admatec/Formatec are now poised for even greater success within the Industry 4.0 landscape, which Nano Dimension is at the forefront of transforming with its combination of deep learning-based AI, additive manufacturing, materials science, and robotics. This expertise is planned to enable advanced breakthroughs across the Admatec/Formatec set of solutions and expected to drive tremendous competitive edges for customers." Jaco Saurwalt, COO of Admatec/Formatec, is joining Nano Dimension as the Head of its Admatec/Formatec Division.
