Redwire announced that it has partnered with Starfish Space to provide Redwire's ARGUS space domain awareness camera for Starfish Space's first-ever satellite docking mission, Otter Pup. Additionally, Redwire has secured a contract option with Starfish Space to demonstrate Redwire's Cerebro Resident Space Object tracking software in orbit upon the completion of the primary mission. Starfish Space's mission will demonstrate the first-ever docking of two commercial satellites in low-Earth orbit. Redwire's Argus camera system will enable Starfish Space's Otter Pup satellite to determine the relative position of its docking target, a critical capability needed to achieve mission success. Upon completion of the satellite docking mission, Redwire may remotely install its Cerebro Resident Space Object tracking software into the ARGUS camera system, leveraging proven ExoAnalytics algorithms, to demonstrate space domain awareness mission applications for the Department of Defense. Redwire's Cerebro software enhances survivability of space assets through onboard autonomous proximity awareness and ephemeris calculations to perform space surveillance of resident space objects.

Redwire announced the promotion of Mike Gold, Executive Vice President of Civil Space Business Development and External Affairs to the position of Chief Growth Officer, effective November 8. As Chief Growth Officer, Gold will lead Redwire's business development, marketing, and external affairs teams positioning the company for long-term growth and expanding adoption and integration of Redwire's cutting-edge capabilities across civil, commercial, and national security space sectors. He will report to Redwire Chairman and CEO Peter Cannito.

Redwire announced that the company has entered into a definitive agreement with QinetiQ to acquire its QinetiQ Space NV business, a Belgium-based commercial space business providing design and integration of space infrastructure and other instruments for end-to-end space missions. Under the terms of the agreement, Redwire will acquire Space NV for EUR 32M, subject to customary working capital adjustments. Upon closing, the transaction is expected to be accretive to Redwire's adjusted EBITDA and free cash flow. Space NV has experienced profitable topline growth and features a strong financial profile. For the year ended March 31, as reported by QinetiQ Group, Space NV recorded EUR 49M of revenue and EUR 3M of profit after taxes. The transaction is expected to meaningfully increase Redwire's revenue by leveraging Space NV's customer base and increase access to multiple new market opportunities. As of March 31, Space NV had contracted backlog of EUR 113M. Space NV has independent facilities, management and operations, which is expected to enable a transition upon closing of the transaction. Redwire will utilize Space NV's existing management and operational structures and anticipates integrating the companies without disruption to either business. Redwire has received financing commitments for equity-linked securities from AE Industrial Partners. After giving effect to this financing, the transaction is expected to be financially accretive. The transaction is subject to customary approvals and closing conditions and is expected to close in the fourth quarter of 2022.

Redwire is providing critical navigation components and Roll-Out Solar Array, or ROSA, technology for NASA's Double Asteroid Redirection Test, or DART, mission, which is set to impact the binary asteroid system Didymos on September 26. Powered by two ROSA wings and guided by digital sun sensors produced by Redwire, DART has successfully traveled roughly 7M miles over nine months since its launch on November 24, 2021. DART's ROSA wings have performed flawlessly, delivering power to the spacecraft and sensitive guidance instruments throughout the mission. Redwire's ROSA and digital sun sensor technology will continue to power and guide DART until the spacecraft's moment of impact.

Redwire signed a memorandum of understanding with both Bradford Space and the Swedish Space Corporation to develop a commercial orbital debris removal service. Through this collaboration, Redwire will expand the development team and add extensive space robotics and guidance, navigation and control experience to enhance the commercial offering. The orbital debris removal services will address the issue of common orbits becoming increasingly congested as more actors are accessing space, creating a hazard to other spacecraft using these orbits. Redwire will contribute both robotic hardware and GN&C capabilities for proximity operations and the capture of both cooperative and non-cooperative objects. A Bradford Space satellite bus with significant delta-V capability, named Square Rocket, will be inserted into orbit to then rendezvous with and deorbit the debris. The target orbits are high-inclination polar, including the common Sun synchronous orbit.

Redwire signed a formal teaming agreement with Sodern to produce the Eagle Eye star tracker. The Eagle Eye star tracker will offer superior performance by leveraging the exceptional flight heritage of Sodern's modular Hydra star trackers, which have flown on more than 60 spacecraft in low-Earth orbit, or LEO, geostationary orbit and in deep space environments since 2012. Through this strategic partnership, Redwire will manufacture the Eagle Eye star tracker at its production facility in Marlborough, Massachusetts, and sell within the U.S. market. Redwire's Marlborough facility has deep experience developing high performance, high reliability guidance, navigation and control components, with 50 years of flight heritage.
