Wells Fargo analyst Elyse Greenspan upgraded Aon plc (AON) to Overweight from Equal Weight with a price target of $265, up from $225. Aon is positioned to outperform as a standalone company or if it acquires Willis Towers Watson (WLTW), Greenspan tells investors in a research note. The analyst believes a standalone Aon is positioned to see "industry-leading" organic revenue growth and has "several tailwinds" to its free cash flow in 2020. If there is a deal, it would likely be because Aon believes it can pull a healthy level of expenses out of Willis without significant revenue disynergies, adds the analyst.

Morgan Stanley analyst Michael Phillips downgraded Willis Towers Watson to Equal Weight from Overweight with a price target of $222, up from $204, stating that he believes the stock's valuation has likely reached peak levels following significant multiple expansion in recent months on the heels of improving P&C pricing. While he thinks pricing gains should continue throughout 2020, he believes the pricing environment is fully reflected in Willis Towers Watson's shares as well as others in the group. He models organic growth and margin expansion at Willis Towers Watson to be in line with that of peers, which also does not support an Overweight rating, Phillips tells investors.

As previously reported, Credit Suisse analyst Michael Zaremski downgraded Willis Towers Watson to Neutral from Outperform on lower conviction that free cash flow levels will spike in 2020-2022. While some of the issues depressing free cash flow such as higher cash taxes and slower account receivable recoupments may only be temporary, the analyst has less confidence that Willis Towers Watson will meaningfully increase its free cash flow conversion rate in the coming years given there are clearly more internal systems/process integration hurdles than he previously appreciated.
