Trian criticizes P&G's business structure amid proxy fight, Reuters reports

Trian Partners co-founder and CIO Ed Garden criticized Procter & Gamble's business structure and reinforced Trian's proposal to split the company into three global business units, each with an accountable president, a day after P&G's CEO attacked Trian's plan as "dangerous," Reuters reports, citing comments made by Garden. "If sales really reports to GBUs, then which GBU does he report to?" Garden asked, referring to Matthew Price, P&G's president of Greater China selling and market operations. "Everyone in the audience knows that if it's a dotted line with someone reporting to you and you don't control their compensation, then it's a canard." Reference Link

Procter & Gamble unlikely to miss near-term expectations, says Deutsche Bank
Deutsche Bank analyst Faiza Alwy believes Procter & Gamble's decision to not give Trian's Nelson Peltz a board seat as a sign that management is confident in its strategy and is unlikely to miss expectations over at least the next few months. The analyst notes the Wall Street Journal's reporting indicates that contrary to speculation from analysts, Trian is not seeking a breakup of the company. This idea was a non-starter given substantial dis-synergies and tax leakage, Alwy tells investors in a research note. The analyst keeps a Hold rating on the shares with a $90 price target.

Procter & Gamble remains a core Staples holding, says Jefferies
Jefferies analyst Kevin Grundy continues to recommend shares of Procter & Gamble as core Staples holding following "upbeat" meetings with management. Trian's involvement, while a distraction, has raised the execution bar, Grundy tells investors in a research note. The analyst notes that the company sees little merit in adding Trian to the board. Grundy believes P&G's structural and portfolio changes are "bearing fruit" and that shares offer multiple expansion potential from current levels. He keeps a Buy rating on the shares with a $103 price target.
