Volcon signed an exclusive co-branding and distribution agreement with Torrot Electric Europa, S.A. Volcon will be granted exclusive rights to sell the new range of youth motorcycles throughout the United States, Caribbean Community countries and dependencies, as well as Central and South America. The motorcycles will be built by Torrot at their facility near Barcelona, Spain. The three year agreement will provide Volcon with an immediate entry into the growing youth powersports market, bringing with it the possibility to increase revenues and profitability. The companies plan on introducing additional versions of the current lineup over the next two years, offering a wide range of youth electric motorcycles, allowing anyone from ages 3 to 16 to enjoy the electric motorcycle experience.

Volcon announced today that it has been awarded its first order to deliver two Stag UTV vehicles to the U.S. Army under the management of the U.S. Army Engineer Research and Development Center's, ERDC, Construction Engineering Research Laboratory, CERL. The Stag, the Company's first all-wheel drive, fully electric UTV, powered by General Motors electric propulsion system technology, is expected to be delivered to two U.S. Army locations in mid-2023."This award is a significant first step into the federal government marketplace," says the Company's Vice President of Global Defense and Government Programs, Richard Tannery. "Given the increasing demand for government fleet electrification via the Department of Defense's Operational Energy Strategy, and now via executive order, we are well positioned to develop and deliver high performance electrified platforms to meet a diverse array of government applications."

Volcon announced that it has officially entered into the e-bike market with the launch of its class 2 e-bike, the Volcon Brat. The Brat has been built with four ride modes to accommodate everything from off-road adventures to maneuvering through urban traffic with ease. These modes vary from minimal pedal assist to full throttle engagement. With 70+ miles of riding fun on a single charge in Mode 1, the Brat provides enough range to empower your adventure and get you back home. The Brat is powered by a 48V battery that can be fully charged in 6-7 hours via Level 1 charging through a standard household outlet. Volcon expects to begin delivering the Brat to dealers and consumers in November 2022, with an MSRP starting at $2,799.

Volcon announced that Ted Turner Reserves has agreed to purchase eight units of the Company's flagship UTV, the Stag, and to be a part of Volcon's UTV testing group utilizing their more than one million acres of land. These pre-orders are non-binding and cancellable prior to delivery. This first phase of testing will determine whether a much broader electrification program will be awarded for the entire Ted Turner Reserves fleet of UTVs and a possible customized version called the Turner Reserve Edition.

Volcon announced it has signed a securities purchase agreement on August 22, 2022 to issue to an investor $27.2 million aggregate principal amount of convertible senior notes due 2024 and accompanying warrants to purchase approximately 9.1 million shares of common stock. The Notes will be senior unsecured obligations of Volcon and no interest shall accrue unless and until an event of default has occurred. Each of the Notes shall include an original issue discount of 8.0%. The Notes will mature on February 24, 2024 unless earlier converted. The initial conversion price will be $2.25 per share of common stock, subject to adjustment upon the occurrence of specified events. The Warrants will be exercisable immediately upon the date of issuance and have an initial exercise price of $2.85. The Warrants will expire five years from the date of issuance. The sale of the Notes is expected to close on August 24, 2022, subject to customary closing conditions.

Volcon announced that it has received over $100 million of pre-production orders for its first all-wheel drive, fully electric UTV, the Stag, powered by General Motors electric propulsion system technology. Over 90% of the pre-production orders have come from Volcon's domestic and international dealer network. Pre-production orders are non-binding and if ultimately finalized, would result in more than $100 million worth of revenue for the company following delivery. While pre-production orders have surpassed 2023 production targets, the Company will begin planning the expansion of its supply and production capabilities in collaboration with General Motors, which may help to meet demand in 2023 and beyond. Volcon will continue to accept orders from dealers, as well as additional consumer reservations, via a waitlist.

Volcon (VLCN) announced that it will power all of its off-road utility terrain vehicles with General Motors' (GM) proven and tested electric propulsion systems, including the Company's flagship UTV, the Volcon Stag, which was revealed to the public on July 1, 2022. Future models, including future versions of the Stag, as well as the Company's planned "Project X" vehicle, will be designed and developed to utilize GM's electric propulsion systems. Volcon will be the first, and currently only off-road powersports company to offer their full line of vehicles with GM's electric propulsion. "General Motors has transformed from an automaker to a platform innovator, with scalable architectures designed to accelerate EV adoption across different industries and product types," said Travis Hester, GM Vice President of EV Growth Operations. "Our work with Volcon is indicative of our plans and demonstrates the flexibility of the platform as well as potential applications well beyond traditional vehicles." In addition to battery cell modules, the Stag will use a number of supporting components from GM. The GM propulsion system will provide instant high power and torque, with AWD capabilities, enabling the Stag to have exceptional acceleration and speed recovery in a variety of terrains. Variable driving modes will allow the driver to adjust the power delivery to optimize performance or range according to the needs.
