Youngevity announced that its wholly-owned subsidiary, CLR Roasters, has signed a five-year contract with H&H Coffee Group Export Corp.to sell CLR's espresso brands, Cafe La Rica and Cafe Cachita into Panama. Terms are C.O.D. and F.O.B. Miami, with the initial order of approximately 60,000 units of Cafe Cachita Espresso bricks expected to ship this week, and a second order of the brand Cafe La Rica of the same amount planned within 14 days thereafter. The distribution relationship establishes minimum order quantities of 40-foot containers per order and is expected to result in annual revenue of approximately $2M.

Youngevity announced that it received an additional letter from the Listing Qualifications Department of Nasdaq indicating that Youngevity's is not in compliance with Nasdaq Listing Rule 5250 because its quarterly report on Form 10-Q for the quarter ended March 31 and annual report on Form 10-K for the year ended December 31, 2019 have not been filed on a timely basis with the Securities and Exchange Commission. In accordance with the Nasdaq letter, Youngevity has until June 1, to submit a plan to regain compliance with Nasdaq's continued listing requirements and if Nasdaq accepts the plan, it can grant an extension of up to 180 calendar days from the filing due date, of September 28, to regain compliance. Youngevity can also regain compliance with Nasdaq's continued listing requirements at any time before September 28, by filing the Form 10-K and Form 10-Q with the Securities and Exchange Commission, as well as any subsequent periodic financial reports that may then become due. The notification letter has no immediate effect on the listing or trading of Youngevity's common stock on the Nasdaq Market.

Youngevity International announced that its wholly-owned subsidiaries, CLR Roasters and Khrysos Industries, which are US Partners along with its Nicaraguan Partners have officially broken ground on the hemp grow and oil extraction joint venture project taking place on the 2,200 acre Chaguitillo Farms in Sebaco-Matagalpa, Nicaragua. The company announced the signing of the venture on April 21. The first phase of the development includes plans to run electricity that will power the 15,000 AMP electrical service that is necessary to power the project. The official electrical permits have been approved and the joint venture released a rendering of the project as an update to stakeholders and the community.

Youngevity announced that it received a letter from the Listing Qualifications Department of Nasdaq indicating that, as a result of Youngevity's delay in filing its annual report on Form 10-K for the fiscal year ended December 31, 2019, Youngevity is not in compliance with the timely filing requirement for continued listing under Nasdaq Listing Rule 5250. The notification letter has no immediate effect on the listing or trading of Youngevity's common stock on Nasdaq. Youngevity filed a notification of late filing on form 12b-25 on March 16, indicating that the filing of the Form 10-K would be delayed and the company anticipated filing its 10-K within the 15 day extension period provided under Rule 12b-25 of the Securities Exchange Act of 1934, as amended. On March 25, subsequent to Youngevity's March 16 notification of late filing, the Securities and Exchange Commission provided extended conditional exemptions from reporting requirements for public companies affected by COVID-19, but this exemption and relief was not made available for companies that already had filed a notification of late filing so Youngevity was not provided the relief provided by the SEC. On March 31, Youngevity issued a press release that advised due the displacement of staff, including substantially all accounting staff, restrictions imposed by various governments, and displacement of auditors' staff among other areas of impact, has slowed down the financial reporting and audit process causing the company to miss the filing date of its 10-K. Nasdaq has informed Youngevity that it must submit a plan of compliance within 60 calendar days of receipt of the letter addressing how it intends to regain compliance with Nasdaq's listing rules and, if Nasdaq accepts the plan, it may grant an extension of up to 180 calendar days from the Form 10-K original filing due date to regain compliance. Youngevity anticipates filing the Form 10-K and regaining compliance prior to the 60-day period described above to submit a plan.

Youngevity announced that the company is exploring the divestiture of its direct selling business unit back to the original founders of the direct selling division and has entered into a non-binding term sheet regarding a potential transaction with Steve and Michelle Wallach. The company's board of directors has formed a special committee consisting of all of its independent directors to review and consider the terms of the proposed transaction. The special committee has engaged an investment banking firm to review the fairness of the proposed transaction to stockholders. Some of the basic considerations outlined in the non-binding term sheet include the proposed sale to the company of approximately 14M shares of Youngevity's capital stock held by the Wallachs and termination of stock options, the forgiveness of approximately $80M of inter-company debt owed by the company to the direct selling business unit and the post-closing working capital level of the direct selling business unit to be mutually determined. It is expected that the terms and conditions of any transaction with the Wallachs will be set forth in a definitive purchase agreement and other ancillary documents to be negotiated between the parties, and that the conditions to closing will include receipt of a fairness opinion and stockholder approval of the transaction. In the event the transaction is completed, it is expected that the newly formed entity that acquires the Direct Selling Division will retain the Youngevity tradename and the public company will be re-branded with a new name and new stock symbol, Steve Wallach would resign as a Director, Chairman and CEO of the public company and become CEO and President of the newly formed entity that acquires the Direct Selling Division, Michelle Wallach will resign as COO of the public company and serve as the COO of the newly formed entity that acquires the Direct Selling Division and Dave Briskie would become the CEO of the public company.
